Intellectual Property Compliance

This Intellectual Property Compliance policy explains how LaunchWe LLC ("LaunchWe," "we," "us," or "our") handles ownership, licensing, and the responsible use of intellectual property in our work and on our website. It is read together with our Terms of Service; where the applicable Order or Terms of Service address the same subject, those documents control.

1. Ownership of Deliverables

Subject to full payment of all amounts due for an engagement, the intellectual property rights in the final deliverables we create specifically for you are assigned to you, excluding Retained Materials and third-party and open-source components. Until full payment is received, all such rights remain with LaunchWe. This mirrors the Intellectual Property section of our Terms of Service.

2. Retained Materials and Our IP

We retain ownership of our pre-existing and independently developed intellectual property, including know-how, methodologies, tools, libraries, frameworks, templates, and generic components ("Retained Materials"). Where Retained Materials are embedded in your deliverables, we grant you a non-exclusive, worldwide, perpetual license to use them as part of those deliverables. The LaunchWe name, logo, and brand assets remain our property and may not be used without prior written permission.

3. Open-Source and Third-Party Components

Our deliverables may incorporate open-source software and third-party components. Each remains the property of its owner and is licensed under its own terms, which pass through to you. We take reasonable care to use components under recognized, compatible licenses and can provide, on request, a summary of significant third-party and open-source dependencies used in your deliverables. You are responsible for complying with those licenses in your ongoing use.

4. Client-Provided Materials

You retain ownership of the content, data, trademarks, and materials you provide to us ("Client Materials") and grant us a limited license to use them solely to perform the engagement. You represent and warrant that you own or are licensed to use the Client Materials and that our authorized use will not infringe the rights of any third party. You will indemnify LaunchWe against any claim arising from the Client Materials, as described in our Terms of Service.

5. AI-Assisted Work

We may use AI and machine-learning tools to assist in delivering our services. Where AI tools are used, we apply professional judgment and review, and we handle the resulting work under the same ownership and licensing terms as the rest of your deliverables. Any third-party AI provider's terms apply to the use of its platform.

6. Respect for Third-Party Rights

We respect the intellectual property rights of others and expect the same from our clients and users. You agree not to use our website, services, or deliverables to infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, or other right of any third party.

7. Infringement Notices

If you believe that content on our website infringes your intellectual property rights, please send a written notice to hello@launchwe.com including:

• Identification of the work you claim has been infringed
• Identification of the material you believe is infringing and its location
• Your contact details
• A statement that you have a good-faith belief the use is not authorized by the rights holder or the law
• A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the rights holder's behalf

We will review valid notices and take appropriate action, which may include removing or disabling access to the material. We may also remove content in response to repeat or clear violations.

8. No Warranty of Non-Infringement Beyond Our Terms

Except as expressly stated in our Terms of Service, we make no representation or warranty that deliverables are free of third-party claims, and our total responsibility for any intellectual-property matter is subject to the disclaimers, indemnification, and limitation of liability in our Terms of Service.
